About the Company

Kent R O Systems is a company engaged in the manufacturing and sale of water purifiers and household appliances. It offers a wide range of products, including electric and non-electric water purifiers, water softeners, internet of things (IoT)-enabled devices, zero-water-wastage systems, kitchen appliances, and brushless direct current (BLDC) fans under the brands ‘Kent’ and ‘Kuhl’. The product portfolio also includes items such as egg boilers, mixers, cooktops, multicookers, and vegetable cleaners. The company operates four manufacturing facilities: one is situated in Roorkee, Uttarakhand, and the remaining three are located in Noida, Uttar Pradesh. The Roorkee unit focuses on water purifiers and softeners, while the Noida facilities handle the production of purifiers, appliances, and fans. One of the three facilities located in Noida also serves as a mother warehouse. Use of proceeds: The IPO is an offer-for-sale (OFS). The company will not receive any proceeds from the offer. Net proceeds from the offer will go to the promoter selling shareholders in proportion to the number of shares offered by them for sale. The primary objective of the offer is to achieve the benefits of listing the equity shares on the stock exchanges, which is expected to enhance the company’s visibility and brand recognition. Listing will also provide liquidity to the existing shareholders and create a public market for the company’s shares in India​.

  • • Kent R O Systems claims to be the pioneer in introducing reverse osmosis (RO) technology in the water purifier segment in India. The company first launched an RO-based water purifier in 1999 and claims to serve over 5.50 million consumers, as of September 30, 2024. The company further claims it has the highest number of stock-keeping units (SKUs) in both the overall and premium water purifier categories, among its peers.
  • • The company claims to have received the highest number of certifications in the Indian water purifier category, including National Sanitation Foundation/American National Standards Institute standard for point-of-use reverse osmosis systems (NSF/ANSI 58), Bureau of Indian Standards (BIS ), Water Quality Association (WQA) gold seal certification, and CE (Conformité Européenne) marking.
  • • The company claims to have a strong focus on innovation, with several patented technologies across its product portfolio. These include mineral RO technology, zero-water-wastage systems, IoT-enabled purifiers, and integrated ultraviolet light-emitting diodes (UV LEDs) for disinfection. They accounted for Rs 536.80 crore (84.25 percent) of the company’s revenue in the period ended September 30, 2024, Rs 1,012.42 crore (85.93 percent) in FY24, Rs 940.67 crore (86.75 percent) in FY23, and Rs 909.98 crore (86.88 percent) in FY22. Any decrease in demand for these products could hit the company’s business and finances.
  • • The cost of raw materials consumed accounted for Rs 234.29 crore (39.40 percent) of the company’s total expenses in the period ended September 30, 2024, Rs 401.51 crore (38.62 percent) in FY24, Rs 365.69 crore (37.43 percent) in FY23, and Rs 340.24 crore (38.73 percent) in FY22. Any disruption in the supply of raw materials or fluctuations in raw material prices could adversely affect the company’s ability to manufacture its products, thereby negatively impacting its business, results of operations, financial condition, and cash flows.
  • • A significant portion of Kent R O Systems’ raw material purchases are dependent on imports. They accounted for Rs 104.76 crore (43.02 percent) of the company’s total purchase of raw materials in the period ended September 30, 2024, Rs 149.02 crore (39.17 percent) in FY24, Rs 145.84 crore (36.29 percent) in FY23, and Rs 136.38 crore (37.59 percent) in FY22. Any restrictions on imports, an increase in duties, or geopolitical tensions in supplier regions can adversely impact the company’s business and profitability.
